Provider Participation Agreement

Effective Date: February 25, 2026

This Provider Participation Agreement (“Agreement”) is entered into between Whole Spectrum Health (“Directory,” “we,” “us,” or “our”) and the registering provider (“Provider,” “you,” or “your”).

By creating an account or maintaining a listing on the Directory, Provider agrees to the terms below.

1. Nature of the Platform

Whole Spectrum Health operates solely as an online provider directory and professional networking platform.

The Directory:

    •    Does not provide medical or mental health services

    •    Does not employ, supervise, or control Providers

    •    Does not verify licensure, credentials, insurance, or background

    •    Does not act as an agent, partner, or representative of Providers

Providers are independent professionals responsible for their own services.

2. Provider Representations and Warranties

By registering, Provider represents and warrants that:

    1.    Provider holds an active professional license or registration in the state(s) listed.

    2.    Provider is in good standing with their licensing board.

    3.    All information submitted is accurate and current.

    4.    Provider will update their listing if licensure status changes.

    5.    Provider will comply with all applicable federal, state, and local laws and professional regulations.

Provider agrees not to misrepresent credentials, services, or areas of expertise.

3. Independent Professional Responsibility

Provider acknowledges and agrees that:

    •    The Directory does not screen, credential, or independently verify Provider qualifications.

    •    Provider is solely responsible for compliance with telehealth regulations, if applicable.

    •    Provider is responsible for maintaining required professional liability insurance.

    •    Provider is solely responsible for client communications, services, billing, and recordkeeping.

Any professional services rendered are solely between Provider and the client.

4. No Liability for Professional Services

Whole Spectrum Health shall not be liable for:

    •    Any services provided by Provider

    •    Any client-provider disputes

    •    Licensing board actions

    •    Claims of malpractice or professional misconduct

    •    Any damages arising from Provider conduct

Provider agrees to indemnify, defend, and hold harmless Whole Spectrum Health and its owners from any claims, liabilities, damages, losses, or expenses arising from Provider’s services, conduct, or representations.

5. Content and Listing Standards

Provider agrees that:

    •    Listing content must be professional and accurate.

    •    No false, misleading, or deceptive claims may be made.

    •    No guarantees of treatment outcomes may be stated.

    •    Content must comply with advertising regulations applicable to Provider’s profession.

The Directory reserves the right to edit, suspend, or remove listings at its sole discretion.

6. Fees and Future Monetization

Whole Spectrum Health reserves the right to:

    •    Introduce listing fees

    •    Modify pricing structures

    •    Offer tiered membership options

Providers will be notified of any fee changes prior to implementation.

7. Termination

Whole Spectrum Health may suspend or terminate a listing:

    •    For violation of this Agreement

    •    For misrepresentation

    •    For complaints of serious misconduct

    •    At its sole discretion

Provider may request removal of their listing at any time.

8. No Endorsement

A listing on Whole Spectrum Health does not constitute endorsement, certification, or recommendation by the Directory.

9. Limitation of Liability

To the maximum extent permitted by law, Whole Spectrum Health’s liability shall be limited to the amount paid by Provider (if any) within the twelve (12) months preceding the claim.

10. Governing Law

This Agreement shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

11. Acceptance

By registering for a provider account and checking the acceptance box, Provider acknowledges that they have read, understood, and agree to be bound by this Agreement.
